1. Acceptance of Terms

These Terms of Service apply to the websites, platforms and services provided by BuildUp Home Services Pty Ltd ("BuildUp Home Services", "BuildUp", "we", "us" or "our").

By accessing or using our services, you agree to these Terms of Service, our Privacy Policy and, where messaging services are used, our SMS Communication Terms & Conditions.

If you have entered into a separate written service agreement with BuildUp, that agreement will also apply. If there is any inconsistency, the separate written agreement will take priority.

2. Regulatory Compliance

Our services must be used in accordance with applicable laws, regulations and telecommunications requirements.

Depending on the location and type of service, these may include:

• Privacy and data protection laws

• Anti-spam and electronic communications laws

• Consumer protection laws

• Telecommunications and carrier requirements

• TCPA requirements in the United States

• A2P 10DLC requirements in the United States

• CASL requirements in Canada

• Spam Act 2003 requirements in Australia

• GDPR and UK GDPR requirements

• Applicable US state privacy requirements

BuildUp is responsible for operating its services in accordance with requirements that apply to BuildUp.

Clients are responsible for ensuring that their contact data, permissions, communications and use of BuildUp's services meet the requirements that apply to their business and intended campaign.

3. Messaging & Communications Services

BuildUp's services may include SMS, email, messaging, voice and automated customer communication services.

SMS services may operate using virtual or dedicated telephone numbers supplied through telecommunications and messaging providers such as Twilio, LeadConnector or other supported providers.

Where BuildUp manages communications on behalf of a client, the client remains the business communicating with its customers, prospects or enquiries. BuildUp provides the technology, automation and campaign management used to facilitate those communications.

Our SMS Communication Terms & Conditions provide further information about how SMS messaging, consent, identification, opt-outs and client messaging responsibilities are handled.

4. Client Contact Data

BuildUp's re-engagement and follow-up services use a client's own customer and enquiry records.

Clients must ensure that:

• Contact information has been obtained lawfully

• They have the appropriate consent, permission or other lawful basis required for the intended communication

• The intended messages are consistent with that permission

• Records supporting that consent or permission are maintained where required

• Contacts who have opted out are not knowingly included in future campaigns

• Information supplied to BuildUp about the source of the contact data is accurate

BuildUp does not purchase, rent or scrape contact data and does not run campaigns using purchased or unrelated third-party contact lists on behalf of clients.

BuildUp may rely on information provided by the client regarding its contact data and messaging permissions. We may request supporting information where reasonably required for compliance purposes.

5. Opt-Outs and Unsubscribe Requests

Clients must respect requests from recipients who no longer wish to receive communications.

For SMS communications, recipients may withdraw consent or request that messages stop using any reasonable method that clearly communicates their intention to stop receiving messages.

BuildUp does not require recipients to use one specific keyword or method.

BuildUp's practice is to action clear SMS opt-out requests immediately once received and identified by the messaging system.

Clients must not knowingly re-add or continue messaging recipients who have opted out of the applicable campaign unless appropriate permission has subsequently been provided.

6. United States A2P 10DLC

Where A2P 10DLC registration is required for messaging to United States recipients, the relevant client business and messaging campaign must be registered using accurate information relating to that client and its intended messaging use.

BuildUp may assist clients with:

• Business and Brand registration

• Campaign registration

• Messaging use cases

• Messaging numbers

• Sample messages

• Consent and opt-in information

• Opt-out and HELP configuration

Clients must provide complete and accurate information required for these registrations.

BuildUp's own Brand, Campaign or A2P 10DLC registration does not automatically provide or extend registration or approval to a client's messaging activities.

7. Client Responsibilities

Clients using BuildUp's services are responsible for:

• Providing accurate business and campaign information

• Ensuring contact data has been lawfully obtained

• Maintaining appropriate consent or permission records

• Ensuring messaging content is accurate and not misleading

• Identifying their business appropriately in communications

• Respecting opt-out and unsubscribe requests

• Informing BuildUp of any known compliance concerns relating to their campaign

• Using the services only for lawful business purposes

Clients must not knowingly use BuildUp's services for spam, fraud, deception or other unlawful activity.

8. Acceptable Use

You must not use our services to:

• Send unlawful or unauthorised communications

• Distribute fraudulent, deceptive, abusive or harmful content

• Violate privacy, telecommunications or consumer protection laws

• Engage in phishing, fraud or impersonation

• Infringe another person's intellectual property rights

• Harass or exploit individuals

• Attempt to bypass carrier, platform or compliance restrictions

• Misrepresent the source, purpose or consent basis of a messaging campaign

9. Compliance, Suspension & Enforcement

BuildUp may review campaigns and use of its services for compliance purposes.

We may pause, refuse or terminate a campaign where we reasonably believe there is an issue involving:

• Contact consent or permission

• Contact data

• Sender identification

• Messaging registration

• Opt-out handling

• Misleading or unlawful content

• Carrier or telecommunications requirements

• Fraud, abuse or other unlawful activity

Where practical, we will work with the client to resolve compliance issues before messaging resumes.

We may also report unlawful activity where required by law.

10. Data & Privacy

BuildUp processes client and recipient information only as required to provide, operate and support the relevant services.

Contact data supplied by one client is not used for another client's campaigns or added to a BuildUp marketing database.

BuildUp does not sell or rent mobile numbers, SMS consent information or client contact databases.

Information may be processed using telecommunications, CRM, hosting, automation and other technology providers required to deliver the services.

On termination of services, client campaign data held by BuildUp will be deleted within 14 days, or sooner where agreed, except where limited information must reasonably be retained for legal, compliance, security, billing or opt-out purposes.

11. Third-Party Services

BuildUp's services rely on third-party platforms and infrastructure, which may include telecommunications carriers, messaging providers, CRM platforms, hosting providers and automation services.

These services may include providers such as Twilio and LeadConnector.

BuildUp is not responsible for outages, delays, restrictions or failures caused by third-party systems that are outside our reasonable control.

Wireless carriers may also delay or prevent delivery of individual messages.

12. Performance Disclaimer

BuildUp does not guarantee specific sales, revenue, appointments, responses or other business outcomes from the use of our services.

Results may vary depending on factors including contact data, customer demand, offer, messaging, market conditions and client follow-up.

Examples, case studies and projections are provided for general information and do not guarantee future results.

13. Limitation of Liability

To the fullest extent permitted by applicable law, BuildUp is not responsible for indirect, incidental or consequential losses arising from the use of our services.

BuildUp is also not responsible for issues resulting from inaccurate information, unlawful contact data, insufficient consent or permissions, or messaging instructions supplied by a client.

Nothing in these Terms excludes any rights or protections that cannot legally be excluded.

14. Age Requirement

You must be at least 18 years old to enter into or use BuildUp's business services.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes to our services, technology, telecommunications requirements or applicable laws.

The latest version will be published with the date it was last updated.

Continued use of the services after updated Terms are published constitutes acceptance of the updated Terms where permitted by applicable law.

16. Governing Law

These Terms are governed by the laws of Queensland, Australia, subject to any mandatory laws or rights that apply in another jurisdiction and cannot legally be excluded.
